Terms of Service

1. Introduction

These Terms of Service govern your use of the services provided by WEBCEO(“WEBCEO”, “we”, “us”, “our”), a company based in Chatham, Kent, United Kingdom. By engaging our services, you agree to be bound by these terms. Please read them carefully.

2. Services

WEBCEO provides web development, mobile app development, cybersecurity, hosting, and related digital services as described in the project scope and statement of work agreed between both parties. Each engagement will be governed by a separate project agreement that references these terms.

All services are provided on a “business to business” basis. If you are a consumer, please contact us for appropriate terms.

3. Intellectual Property

3.1 Our Intellectual Property

WEBCEO retains all intellectual property rights in any pre-existing tools, libraries, frameworks, and methodologies used in delivering our services. We grant you a perpetual, royalty-free, non-exclusive licence to use any deliverables incorporating our pre-existing IP solely for the intended purpose.

3.2 Your Intellectual Property

You retain all rights to any content, data, or materials you provide to us. You grant us a licence to use these materials solely for the purpose of delivering our services.

3.3 Deliverables

Upon full payment, we assign to you all intellectual property rights in the custom deliverables created specifically for your project, excluding our pre-existing IP as described in section 3.1.

4. Payment Terms

Payment terms are outlined in the project agreement and invoice. Unless otherwise agreed:

  • Invoices are payable within 30 days of the invoice date.
  • Projects over £5,000 require a deposit of 30-50% before work commences.
  • Late payments may incur interest at 8% per annum above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998.
  • All prices are quoted in GBP and exclude VAT, which will be added at the applicable rate.

5. Client Responsibilities

As a client, you agree to:

  • Provide timely feedback, approvals, and required materials.
  • Ensure you have the legal authority to enter into this agreement.
  • Provide accurate and complete information for the project.
  • Not use our services for any unlawful purpose or in violation of any applicable laws or regulations.

6. Limitation of Liability

To the maximum extent permitted by UK law:

  • Our total liability for any claim arising under these terms shall not exceed the total fees paid by you for the specific service giving rise to the claim.
  • We shall not be liable for any indirect, consequential, or incidental damages, including loss of profits, revenue, data, or business opportunity.
  • Nothing in these terms limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

7. Confidentiality

Both parties agree to keep confidential any proprietary information disclosed during the course of the engagement. This obligation survives the termination of the agreement for a period of three years. Confidential information does not include information that is publicly available or independently developed.

8. Warranties

We warrant that our services will be provided with reasonable skill and care. For hosting services, we guarantee 99.9% uptime, subject to scheduled maintenance and circumstances beyond our reasonable control.

All warranties are subject to the limitations of liability set out in section 6. We do not warrant that our services will be uninterrupted or error-free.

9. Termination

Either party may terminate the agreement by providing 30 days' written notice. We may terminate immediately if you fail to pay invoices when due or breach these terms. Upon termination, you must pay for all services rendered up to the termination date.

10. Governing Law

These terms and any dispute arising from them shall be governed by and construed in accordance with the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to These Terms

We may update these terms from time to time. We will notify you of any material changes via email or by posting a notice on our website. Continued use of our services after changes constitutes acceptance of the updated terms.
